OneConstruction Group Limited Announces Board and Committee Changes, Effective from June 13, 2025 On June 13, 2025, Ms. Wai Yan Chan notified OneConstruction Group Limited of her resignation as a director and member of the audit committee, compensation committee and nominating and corporate governance committee, effective June 13, 2025. Ms. Chan has advised that her resignation was due to personal reasons and not a result of any disagreement with the Company on any matter related to the operations, policies, or practices of the Company. To fill the vacancy created by Ms. Chan's departure, on June 13, 2025, the board of directors of the Company (the "Board") appointed Ms. Suet In Chung as an independent director of the Company, a member of each of the nominating and corporate governance committee, audit committee, and compensation committee, and the chairperson of the compensation committee. The Company has determined that Ms. Chung satisfies the "independence" requirements of the corporate governance rules of the Nasdaq Stock Market LLC ("Nasdaq") and Rule 10A-3 under the Securities Exchange Act of 1934, as amended.
