Oryx Properties Limited (NMSE:ORY) completed the acquisition of Safari Investments Namibia Proprietary Limited from Safari Investments RSA Limited (JSE:SAR). Oryx Properties Limited (NMSE:ORY) agreed to acquire Safari Investments Namibia Proprietary Limited from Safari Investments RSA Limited (JSE:SAR) for approximately NAD 300 million on March 27, 2025. The total disposal consideration of NAD290 million is payable in cash on the Effective Date. In addition to the Consideration, an agterskot amount (“Agterskot”) may become payable in the event of an agreed target net operating income (“NOI”) yield being achieved by Safari Namibia during the 12 month period following the Effective Date. NAD1 million upon achievement of an NOI of at least NAD32.01 million during the NOI Measurement Period; and NAD 10 million upon achievement of an NOI of NAD 33 million or more during the NOI Measurement Period. The Consideration will be used to fund new development opportunities in line with the Safari Investment’s core investment focus areas being retail shopping centres in the rural and township areas in South Africa.
As of June 30, 2024, Safari Investments Namibia Proprietary Limited reported total common equity of NAD 225.03 million.
The transaction is subject to conditions and expected completion of the transaction is September 1, 2025.
