Progress Software Corporation (NasdaqGS:PRGS) agreed to acquire substantially all assets and assumed liabilities and Data Platform Business of Domo, Inc from Domo, Inc. (NasdaqGM:DOMO) for approximately $400 million. Progress Software Corporation (NasdaqGS:PRGS) agreed to acquire substantially all assets and assumed liabilities and Data Platform Business of Domo, Inc from Domo, Inc. (NasdaqGM:DOMO) for approximately $400 million on July 22, 2026. A cash consideration of $400 million will be paid by Progress Software Corporation and subject to a downward adjustment if the cash acquired is less than $25 million and for any outstanding indebtedness of the business at closing. Funding with cash on hand and borrowings under existing $1.5B Revolver.
The transaction is subject to approval of merger agreement by target board, approval by regulatory board / committee and approval of offer by acquirer board, satisfaction of other customary closing conditions. The deal has been unanimously approved by the board. The acquisition is currently expected to close within Progress’ fiscal year, ending November 30, 2026.
