As is standard practice for this type of transaction, the framework agreement provides for a post-closing negative adjustment to the provisional price paid to the sellers. For the period ending December 31, 2024, Cernuto Pizzigoni & Partners S.R.L. reported total revenue of €0.85 million, net income of €0.08 million and EBITDA of €0.13 million. As part of the acquisition, Luca Oliverio, currently sole director of CP&P, will continue to perform a strategic role within the company even after the closing of the transaction.
