The cash consideration payable under the terms of the Acquisition will be funded from the existing cash resources of the SailPoint Group. The Osirium Directors consider the terms of the Acquisition to be fair and reasonable. Accordingly, the Osirium Directors intend to recommend unanimously that Osirium Shareholders vote in favor of the Scheme at the Court Meeting. Transaction is subject to Osirium shareholders and court approvals. As on October 12, 2023, Osirium shareholders and court approved the transaction. As of October 26,2023, the High Court of Justice in England and Wales sanctioned the Scheme. The Acquisition is currently expected to complete during the last quarter of 2023. As of October 26, 2023, It is anticipated that the Effective Date of the Scheme will be October 30, 2023.
