It is expected that CentralWorld Company Limited will enter into a share sale and purchase agreement within 30 days after entering into the memorandum of understanding. As of August 25, 2021, Major Cineplex Group Public Company and CentralWorld Company Limited signed a share sale and purchase agreement. The consideration will be paid in cash. Pursuant to the terms of the transaction, CentralWorld Company Limited will acquire around 647 million shares in Siam Future Development Public Company Limited for THB 12 per share. The transaction will be funded from loan. Post completion, CentralWorld Company Limited holds 52.15% stake and Central Pattana Public Company holds 4.11% stake in SF. Therefore, Central World is required to make a tender offer for the remaining shares in SF with the amount of 932,550,343shares (equal to 43.74% of the total issued and outstanding shares of SF) at the same price as that of the purchase price of THB 12 per share. After the tender offer, CentralWorld Company Limited has a planto delist SF from being a listed company in the SET.
