The transaction is subject to a number of conditions customary, including the approval of the TSX Venture Exchange and the accuracy of the representations and warranties contained in the agreement in all material respects. Each unit will consist of one common share and one transferable purchase warrant of the company. Each warrant will entitle the holder to purchase one common share at a price of CAD 0.20 per share until one year from the date of issuance.
