Alluminous Pty Ltd agreed to acquire Hipura Pty. Ltd. from ChemX Materials Limited (ASX:CMX) for AUD 2.2 million. Alluminous Pty Ltd agreed to acquire Hipura Pty. Ltd. from ChemX Materials Limited (ASX:CMX) for AUD 2.2 million on April 23, 2025. A cash consideration of AUD 2.2 million will be paid by Alluminous Pty Ltd. The acquisition will be funded equally via a Share Subscription Agreement in Alluminous, with Impact Minerals Limited (ASX : IPT) contributing AUD 1.1 million and the other shareholders contributing the remaining AUD 1.1 million. Subscriptions are to be completed by April 24, 2025. If Impact Minerals Limited (ASX : IPT) fails to contribute its AUD 1.1 million share of the purchase price and initial working capital of AUD 0.5 (AUD 1.6 million in total), Alluminous may terminate the binding term sheet and proceed to acquire HiPurA independently. However, Impact Minerals Limited (ASX : IPT) does not anticipate any difficulties in making its contribution.
