Persistent Systems Limited (NSEI:PERSISTENT) proposed to acquire 79% stake in Nagarro SE (XTRA:NA9) for approximately €790 million. Persistent Systems Limited (NSEI:PERSISTENT) proposed to acquire 79% stake in Nagarro SE (XTRA:NA9) for approximately €790 million on June 26, 2026. A cash consideration valued at €81 per share will be paid by Persistent Systems Limited. Persistent will fund the transaction with committed financing from Barclays. The Offer forms part of a taking-private strategy. Following completion of the Offer, Persistent intends to pursue a delisting of Nagarro shares from the regulated market. Persistent Systems has signed a purchase agreement to acquire 21% stake from Lantano Beteiligungen GmbH. The transaction is expected to be cash EPS accretive for Persistent shareholders in the first year of the transaction.
The transaction is subject to approval by regulatory board / committee and minimum tender of 50% stake. The deal has been approved by the board of Persistent Systems Limited and Nagarro on June 26, 2026. The transaction is expected to close in Q4 Year 26/Q1 Year 27.
