The debenture may be converted, in whole or in part, at any time before the maturity date, into units of the company at the election of the debenture holder at a conversion price of $0.225 per unit. Each unit consists of one common share in the capital of the company and one common share purchase warrant. Each warrant is exercisable into one common share at a price of $0.25 per warrant share for a period of 24 months from the date of closing.
