Lifeloc Technologies, Inc. (OTCPK:LCTC) entered into an agreement and plan of merger to acquire Electronic Systems Technology, Inc. (OTCPK:ELST) for $0.74 million. Lifeloc Technologies, Inc. (OTCPK:LCTC) entered into an agreement and plan of merger to acquire Electronic Systems Technology, Inc. (OTCPK:ELST) for $0.74 million on October 9, 2025. Under the terms of the agreement each outstanding share of common stock of Electronic Systems Technology will be converted into the right to receive 0.048 shares of Lifeloc Technologies, with cash paid in lieu of any fractional shares. Upon completion, Electronic Systems Technology will continue its corporate existence under the Colorado Business Corporation Act as a wholly owned subsidiary of Lifeloc Technologies.
The boards of directors of both Electronic Systems Technology and Lifeloc Technologies have unanimously approved the transaction, deeming it fair and in the best interests of their respective stockholders. The adoption of the agreement requires the affirmative vote or consent of the holders of seventy-five percent (75%) of the outstanding shares of Electronic Systems Technology common stock. Additionally, the transaction is subject to customary closing conditions, including effectiveness of the Lifeloc Technologies’s registration statement on Form S-4 covering the shares to be issued under the Merger Agreement, receipt of any required regulatory approvals, and listing / approval of new shares on stock exchange. お知らせ • Apr 26
