All Consideration Shares issued will be subject to a voluntary lock-up from which one-third of the Consideration Shares will be released every six months for a period of eighteen months. The Note evidencing the Vendor Financing shall bear interest of 7% per annum, with interest payable on the 1st day of each month commencing November 1, 2023. The principal shall be paid in equal annual instalments with one third payable commencing October 2, 2024. The Vendor Financing shall be secured against the assets of Meritus. It is anticipated that Meritus will continue to operate independently until mid-2024 at which time, Meritus principal Dean McCabe and the rest of the Meritus team will formally join Tribe. お知らせ • Jan 06Tribe Property Technologies Inc. announced that it expects to receive CAD 15 million in funding from Round 13 Capital, Inc.Tribe Property Technologies Inc. announced a brokered and Strategic private placement of 3,750,000 units at an issue price of CAD 4 per unit for gross proceeds of up to CAD 15 million on January 5, 2022. The transaction included participation from new investor Round13 Growth, a fund managed by Round 13 Capital, Inc, will lead the financing and subscribe for CAD 10 million worth of units. Each unit will consist of one common share and one common share purchase warrant of the Company. Each Warrant shall entitle the holder thereof to acquire one common share in the capital of the Company at a price of CAD 5.10 per warrant share, until the date which is 36 months following the closing of the transaction, subject to adjustment in certain events. The Closing of the transaction is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory and other approvals including the approval of the TSX Venture Exchange ("TSXV"). All securities issued pursuant to the transaction will be subject to a statutory hold period of four months plus a day and TSXV hold period, as applicable. In connection with transaction the investor participation in the transaction and subject to regulatory and corporate law requirements investor will be provided with certain rights, including right to nominate one director to the board of the Company at the Company's next annual general or special meeting of its shareholders; and right to recommend a qualified independent director to the board of the Company at the Company's next annual general or special meeting of its shareholders.
