The offering is being conducted pursuant to applicable prospectus exemptions under Canadian securities laws and may include subscriptions from Canadian and U.S. accredited investors. The principal amount of the debentures will be convertible, at the option of the holder, into units of the company at a conversion price equal to until February 23, 2027 at CAD 0.08 per unit, at any time after February 23, 2027, at CAD 0.10 per unit or from and after the effective date of the company completing the consolidation the conversion price shall be adjusted by multiplying CAD 0.08 by a fraction. Prior to the offering, Shen Capital did not own any securities of the company.
