Freeze Tag, Inc. Announces Removal of Board Members A group of holders of the Series C Preferred Stock of Freeze Tag, Inc., representing an aggregate of 65.92% of the total voting power of the Company, announced that, pursuant to Section 141(k) and Section 228 of the Delaware General Corporation Law, they have approved and delivered to the Company a Written Consent removing Craig Holland and Mick Donahoo as members of the Board of Directors. Upon the effective date of the Corporate Action, the sole remaining directors of Freeze Tag will be Robert Don Vardeman and Robert Don Vardeman, Jr. who, combined, hold an aggregate of 2,998,302 shares of Series C Preferred Stock representing 51.1% of the total voting power within the Company. Under Section 1.10 of the Company’s Bylaws, the Company is required to give prompt notice of the taking of this Corporate Action to all stockholders who have not consented in writing. Pursuant to Rule 14c-2 of the Securities and Exchange Commission, the Corporate Action will not become effective until 20 days after Freeze Tag disseminates to its stockholders a definitive Information Statement on Schedule 14C describing this action. The Series C stockholders who approved the Corporate Action have cautioned Mr. Holland and Mr. Donahoo against causing the Company to enter into any significant, material transactions, or otherwise acting in their capacities as officers, directors, or employees in a manner that would disrupt the status quo between now and the effective date of the Corporate Action. Freeze Tag Launches Scavenger Hunt with Eventzee Freeze Tag announced that Sage Fruit Company has launched a fan engagement event using the Eventzee scavenger hunt app. In partnership with Tony Stewart Racing, the “Sage Fruit Scavenger Hunt” challenges apple and racing fans alike to test their knowledge, and visit race tracks across the country. Interested parties can join the free event by using code “APPLES” in the Eventzee app. The virtual event features GPS, photo, video, text, and quiz challenges, with new challenges appearing weekly. Through the GPS Challenges, participants are encouraged to attend as many races as they can in the 2021 season. However, those unable to attend will still find fun fruit- and racing-themed challenges to complete. A ten-minute Zoom call with drivers Tony Stewart and Danny Schatz, as well as an autographed hat will be awarded to the first-place finisher. Second place will receive framed, autographed posters, and third place will receive a Sage Fruit Travel Pack. Freeze Tag Launches Team Events With Eventzee Freeze Tag has officially launched a team event option for the Eventzee application. While in the past, event participants could potentially work as a team under a single Eventzee account, this worked better for in-person events. The extended functionality comes as a highly requested feature from clients, particularly those hosting team-building or ice breaker-style events. The main difference between Eventzee team events and regular events is that team events have extra Team Scoring options for event hosts to specify their requirements. Unlike some other scavenger hunt apps, each team member’s score can affect the overall team score in Eventzee team events, if the host chooses. Event hosts have the flexibility to require all team members to complete a challenge, just one team member, or any number in between. In addition, depending on the member requirement they chose, event hosts can specify whether they want only the top N or bottom N scores to count, or to have all the scores added together. Event hosts also have the option to create teams and assign participants to them, or to leave it up to their participants to form their own teams. For the latter option, a minimum and maximum number of members can be specified so that teams must be within that range before they can start to work on the challenges. Regardless of which team-forming option event hosts choose, they always have the ability to create their own teams and move participants to different teams, if conflicts arise. In events where participants are allowed to create their own teams, the team captains are given a Team Manager role which allows them full control over their members -- they can invite, cancel invites, accept or reject join requests, promote to the Team Manager role, and remove. In addition, the Team area in the Social tab only displays messages from other team members, unlike regular events where the Chat is open to all participants. This private team chat allows team members to use the Eventzee app to plan, strategize, and coordinate their efforts. お知らせ • Apr 29
Freeze Tag Launches QRates and Cubimals for Munzee Community Freeze Tag has launched a new over-the-air update of the Munzee app that focuses on Cubimals, cube-shaped animal collectibles that can be found inside QRates. The new update focuses on reinvigorating the physical gameplay the app is known for, increasing daily activity, and offering more in-app purchase options. At launch, a player has a chance of finding a QRate after capturing a basic physical game piece, a QR Code known as a “Greenie.” Once a QRate is found, players must capture or deploy more physical game pieces (either Greenies or other types of QR Codes) to unlock it and receive the prize inside. QRates can contain the aforementioned Cubimals, Booster Credits, or other game pieces. Freeze Tag has committed to rotating the QRate contents throughout the year to keep things fresh for players. In addition, as there are currently only 3 QRate types -- the standard “QRate,” “Gold QRate,” and “Diamond QRate” -- more QRate types with different prizes are planned for the future. Players can locate QRates through their dedicated section under “Inventory” in their User Profile. Freeze Tag Launches Advanced ZeeOps Missions For Munzee Community Freeze Tag launched a new over-the-air update of the Munzee app that focuses on ZeeOps, story-based missions that players can complete to earn rewards and special bonuses. The new update focuses on streamlining player onboarding, increasing daily activity, and offering more in-app purchase options. Alongside free daily ZeeOps missions that encourage players to participate in Munzee every day, the latest update has also revealed a new Secret Operations system featuring more advanced gameplay. Players can now purchase access to limited edition missions using the game’s in-app currency, Zeds. By completing missions, players can earn unique game pieces, achievement badges, and more. Secret Operations are sets of missions developed around a short storyline directed toward more advanced players. Mission requirements and rewards are chosen thoughtfully to fit within the context of that storyline. Starting with “Operation: WatchE.R.” in January, Freeze Tag has committed to developing several Secret Operations throughout the year. These themed operations will coincide with holidays and other events relevant to the Munzee player base. Players can locate this new content through the ZeeOps Hub in the lower right hand corner of the app’s main screen. This section allows players to see their Daily Mission requirements, and follow their progress on Secret Operations. Jacksonville Celebrates Holiday Fun with Eventzee by Freeze Tag Freeze Tag announced that Jacksonville, Florida’s Downtown Business Improvement District, Downtown Vision, launched a virtual community engagement event using the Eventzee scavenger hunt app. Utilizing Eventzee technology, the “Halloweek” event encouraged residents and visitors to frequent a variety of businesses in Downtown Jacksonville. Using the built-in leaderboard and scoring mechanisms in the Eventzee app, players were challenged to seek out and scan at least 10 QR codes at participating businesses between October 26th and October 30th. All those players who achieved this goal received a $20 #DTJax e-Gift Card from Downtown Vision. In addition, all hunters who scanned at least 10 QR Codes were entered into a drawing to receive prize baskets from Downtown businesses. Players were encouraged to participate in special photo challenges for extra entries into the contest.
