Total consideration payable by Tivan for the Acquisition totals AUD 8.75 million, comprising staged payments as AUD 0.5 million cash payable within 5 business days of execution of the Binding Term Sheet, AUD 3 million cash payable upon completion of the Acquisition, Year 1 Payment of AUD 1.75 million, payable as AUD 0.875 million in cash and AUD 0.875 million in cash or shares at Tivan’s election, one year from the date of execution of the Binding Term Sheet, , Year 2 Payment of AUD 1.75 million, payable as AUD 0.875 million in cash and AUD 0.875 million in cash or shares at Tivan’s election, one year from the date of execution of the Binding Term Sheet, , Year 3 Payment of AUD 1.75 million, payable as AUD 0.875 million in cash and AUD 0.875 million in cash or shares at Tivan’s election, one year from the date of execution of the Binding Term Sheet. As part of the acquisition, Tivan will also take assignment of all mineral rights held Investigator and Thor on tenements comprising the Company’s adjacent Sandover Fluorite Project. The acquisition enables Tivan to leverage existing relationships in central Australia, with the Northern Territory and Federal governments, and in Japan, in support of expedited project facilitation, offtake marketing, financing and development. After the completion Molyhil Mining will receive AUD 6.56 million and Fram Resources will receive AUD 2.19 million. The transaction is expected to close in December 2025. お知らせ • Feb 18Tivan Limited Announces Executive AppointmentsThe Board of Tivan Limited announced key new hires that strengthen the Company's geological and project facilitation capabilities ahead of the commencement of the 2025 field campaign at Speewah. Hiring processes across a range of disciplines are ongoing at Tivan, to ensure that operational readiness is achieved ahead of the commencement of the proposed Joint Venture with Sumitomo Corporation for the Speewah Fluorite Project. Based in Perth, Mr. Thomas Pilote has commenced as Senior Project Geologist. Tom previously worked at Mineral Resources and BHP on various projects including Wodgina, Mt Marion, Eastern Pilbara Hub and Mining Area C. Mr. Matthew Draddy is also commencing in Perth as Senior Project Geologist. Matt formerly worked at Mineral Resources, SRK and Fortescue Metals across a range of projects, including Wodgina, Iron Bridge and Solomon. Mr. Nelson Joku is joining Tivan's headquarters in Darwin as Exploration Geologist. Nelson joins from Rocklands Copper and Panjingo Gold Mines, having previously worked at South 32's GEMCO Manganese operations on Groote Eylandt in the Northern Territory. Mr. Lachlan Anderson is also joining Tivan in Darwin, as the Company's first Graduate Geologist. Lachlan recently graduated from the Australian National University with Bachelor Science (Advanced) with 1st Class Honours majoring in Earth Sciences. Lachlan has previous work experience with Core Lithium and Dreadnought Resources, having attended high school in Darwin. Lachlan was awarded the Tuckwell Scholarship and various academic awards whilst attending ANU.

The transaction included participation from new investor SBC Global Investment Fund, a fund managed by SBC Global Investors. The term of notes is 18 months from the issuance. The Facility provides for initial funding via a First Tranche of AUD 2.8 million through the issue of convertible notes with a face value of AUD 3.3 million, and access to potential further funding tranches totaling up to AUD 8.4 million (with total face value up to AUD 9.9 million), with subsequent tranches being subject to mutual agreement between the Company and the Investor. お知らせ • Sep 01Guy Debelle Joins Tivan Limited's Board as Non-Executive DirectorTivan Limited announced that Dr. Guy Debelle has agreed to join the Board of Tivan in the role of Non-Executive Director, effective as of 1 September 2023. Dr. Debelle is an experienced policy maker, with a 25 year career at the Reserve Bank of Australia, including more than five years as Deputy Governor. He has played a significant role in advancing the sustainable finance agenda in Australia. He is an adviser to the Investment Committee of Australian Retirement Trust. He is also co-chair of the ASFI Taxonomy Technical Experts Group developing the Sustainable Finance Taxonomy for the Australian economy and an honorary Professor of Economics at the University of Adelaide. After leaving the RBA, Dr. Debelle worked at Fortescue Future Industries as CFO and non-executive director. Stephen is an experienced geologist with exploration and mining experience across multiple commodities covering lithium, manganese, zinc and gold. Stephen has extensive experience in the Northern Territory and Western Australia and has been at the forefront of critical mineral production with top tier companies including Glencore, OM Manganese and Mineral Resources most recently. He holds a Bachelor of Science (Geology) from the University of Newcastle. Stephen will oversee all aspects of the Company’s geological program including for the Speewah Vanadium-TitaniumIron Project in Western Australia. He has direct operational experience that will be of significant benefit to the Company in its pre-development planning activities, and in its tenement management and exploration in the Northern Territory.
