(OTCPK:CBNT) announced that it has entered into a subscription agreement with an individual investor for private placement of 2,700 series C convertible preferred shares at a price of $100 per share for gross proceeds of $270,000 on August 20, 2020. The preferred shares carry a fixed annual dividend of 2% on stated value of $100. The preferred shares are redeemable in nature and is convertible into common shares at conversion price equal to the lowest daily volume weighted average price for any trading day during the two years preceding the date of delivery of the conversion notice, subject to adjustment as otherwise provided herein. The company will issue securities pursuant to exemption provided under Regulation D. The transaction is expected to close on or about August 24, 2020.
