Announces Board ChangesCI Financial Corp. (“CI” or the “Corporation”) and Mubadala Capital announced the successful completion, effective August 12, 2025, of the previously announced acquisition of CI, one of North America’s leading diversified asset and wealth management companies. The CAD 12.1-billion transaction marks a significant milestone in Mubadala Capital’s growth ambitions, accelerating its expansion into private wealth management and cementing its position at the forefront of a rapidly evolving sector. In connection with completion of the Arrangement, William Butt, Brigette Chang, Paul J. Perrow and Sarah Ward have resigned as directors of CI and were replaced by Samuel Merksamer, Murat Konuk and Glyn Barker. William Holland and Kurt MacAlpine will remain as directors of CI following completion of the Arrangement. Mr. Merksamer is an Executive Director at Mubadala Capital (since 2024). He previously was a Partner at One Investment Management from 2022 to 2024. Prior to then, Mr. Merksamer was a Partner at SoftBank Investment Advisers and a Managing Director at SB Management, an affiliate of SoftBank, from 2019 to 2022. From 2017 to 2019, he was a co-founder of Caligan Partners, L.P., an investment firm. Mr. Merksamer was a Managing Director of Icahn Capital LP, a subsidiary of Icahn Enterprises L.P., from 2008 to 2016. Mr. Merksamer has an A.B. degree, Economics from Cornell University. Mr. Konuk joined Mubadala Capital in 2023 and is a Senior Principal on the Private Equity Team. Prior to joining Mubadala Capital, Mr. Konuk worked at a number of private equity firms, including Blackstone and Castle Harlan. Mr. Konuk graduated from Rice University with a B.A. in Mathematical Economic Analysis. Mr. Barker was Managing Partner of PricewaterhouseCoopers LLP UK (“PwC”) from 2006 to 2008 and then served as Vice Chairman from 2008 to 2011. Mr. Barker joined PwC in 1975 and became an audit partner in 1987. He then established PwC's private equity-focused Transactions Services business and led the UK Audit Practice. Since leaving PwC in 2012, Mr. Barker has served as a director of several public companies including Aviva plc (Senior Independent Director), Berkeley Group Holdings plc (Chairman) and Transocean Limited. CI’s shares will be delisted from the Toronto Stock Exchange following closing of the transaction; however, CI is expected to remain a reporting issuer under applicable Canadian securities laws as a result of its debentures and notes remaining outstanding. Holders of outstanding shares of preferred equity in CI’s subsidiary, Corient Holdings Inc., have agreed to waive and amend certain liquidity and other rights in connection with the transaction through the closing of the transaction. Mubadala Capital intends to fund up to $750 million of additional cash at closing to reduce the preferred equity outstanding. (“CI” or the “Corporation”) and Mubadala Capital announced the successful completion, effective August 12, 2025, of the previously announced acquisition of CI, one of North America’s leading diversified asset and wealth management companies. The CAD 12.1-billion transaction marks a significant milestone in Mubadala Capital’s growth ambitions, accelerating its expansion into private wealth management and cementing its position at the forefront of a rapidly evolving sector. In connection with completion of the Arrangement, William Butt, Brigette Chang, Paul J. Perrow and Sarah Ward have resigned as directors of CI and were replaced by Samuel Merksamer, Murat Konuk and Glyn Barker. William Holland and Kurt MacAlpine will remain as directors of CI following completion of the Arrangement. Mr. Merksamer is an Executive Director at Mubadala Capital (since 2024). He previously was a Partner at One Investment Management from 2022 to 2024. Prior to then, Mr. Merksamer was a Partner at SoftBank Investment Advisers and a Managing Director at SB Management, an affiliate of SoftBank, from 2019 to 2022. From 2017 to 2019, he was a co-founder of Caligan Partners, L.P., an investment firm. Mr. Merksamer was a Managing Director of Icahn Capital LP, a subsidiary of Icahn Enterprises L.P., from 2008 to 2016. Mr. Merksamer has an A.B. degree, Economics from Cornell University. Mr. Konuk joined Mubadala Capital in 2023 and is a Senior Principal on the Private Equity Team. Prior to joining Mubadala Capital, Mr. Konuk worked at a number of private equity firms, including Blackstone and Castle Harlan. Mr. Konuk graduated from Rice University with a B.A. in Mathematical Economic Analysis. Mr. Barker was Managing Partner of PricewaterhouseCoopers LLP UK (“PwC”) from 2006 to 2008 and then served as Vice Chairman from 2008 to 2011. お知らせ • Nov 25CI Financial to Delist from Toronto Stock Exchange Following Closing of the TransactionCI Financial Corp. announced that it has entered into a definitive agreement with an affiliate of Mubadala Capital, the alternative asset management arm of Mubadala Investment Company, to take CI private in a transaction that values CI’s equity at approximately $4.7 billion and implies an enterprise value of approximately $12.1 billion. Following the closing of the transaction, CI will continue to operate with its current structure and management team and will be independent of Mubadala Capital’s other portfolio businesses. CI’s debentures and notes are expected to remain outstanding following closing of the transaction and the financing for the transaction has been structured to maintain CI’s long-term issuer and senior unsecured debt ratings of Baa3 (Stable) by Moody’s. CI’s shares will be delisted from the Toronto Stock Exchange following closing of the transaction; however, CI is expected to remain a reporting issuer under applicable Canadian securities laws as a result of its debentures and notes remaining outstanding. Holders of outstanding shares of preferred equity in CI’s subsidiary, Corient Holdings Inc., have agreed to waive and amend certain liquidity and other rights in connection with the transaction through the closing of the transaction. Mubadala Capital intends to fund up to $750 million of additional cash at closing to reduce the preferred equity outstanding. Following the closing, the parties will continue prioritizing the maintenance of CI’s investment grade senior unsecured debt ratings.

Effective January 1, 2024, Marc-André Lewis, Chief Investment Officer of CI GAM, will assume the role of co-head of CI GAM. Mr. Lewis will retain his current responsibilities as CIO. Mr. Urbanky joined CI in 1996 in its Information Technology department, where he spent 20 years in progressively more senior roles before being named Chief Technology Officer in 2016. He was promoted to Chief Operating Officer in 2018 and named President in 2019.

The bid will expire on December 18, 2023, unless extended or withdrawn. As of November 9, 2023, the company had 162,784,729 shares in issue.

As part of the transaction, CPWM owners will become equity partners in CI Private Wealth, the private partnership that holds CI’s broader U.S. wealth management business. Following the completion of the transaction, the leadership team at CPWM will remain in place. The transaction is subject to regulatory and other customary closing conditions and is expected to close later this month.
