Terminates Lee Seltzer as Chief Operating Officer, Effective December 31, 2025 on December 31, 2025, Apple iSports Group, Inc. terminated Lee Seltzer as Chief Operating Officer of the Company and in his capacity as an employee of the Company's Australian (second-tier) subsidiary. This event is in connection with the Company's decision to move its operations from Australia to the United States, which occurred effective as of that same date. In connection with the termination, on December 31, 2025, Mr. Seltzer made a demand on the Company for the sum of approximately $100,000, which he asserts is due under his employment agreement with the Australian subsidiary. Apple iSports Group, Inc. (OTCPK:AAPI) signed a letter of intent to acquire AmeriCrew Inc. (OTCPK:ACRU). Apple iSports Group, Inc. (OTCPK:AAPI) signed a letter of intent to acquire AmeriCrew Inc. (OTCPK:ACRU) on May 15, 2025. A cash consideration will be paid by Apple iSports Group, Inc. The consideration consists of common equity of Apple iSports Group, Inc. to be issued for common equity of AmeriCrew Inc. As part of consideration, an undisclosed value is paid towards common equity of AmeriCrew Inc. AmeriCrew will continue to operate under its brand and will be led by Mr. Kelley Dunne, the current CEO of AmeriCrew.
The transaction is subject to approval by regulatory board / committee, approval of merger agreement by target board, approval of offer by acquirer board, approval of offer by target shareholders and definitive agreement. During fiscal year 2022, he was also the founding chairman and board member of BetCloud Pty Ltd, Melbourne, Australia, a wagering and data science company located in Melbourne. Mr. Hsu also has extensive experience in investment banking, including mergers and acquisitions. From July 2017 through August 2020, he was the Global Head of Leveraged and Structured Solutions of Standard Chartered, Singapore.
