UMAX Group Corp. (OTCPK:UMAX) acquired a 48.5% stake in Funny Media Studios. UMAX Group Corp. (OTCPK:UMAX) acquired a 48.5% stake in Funny Media Studios for 1,000,000 shares of Series B, Preferred Stock of the Company on April 14, 2022. In May of 2019, UMAX acquired operating control of Funny Media Group pursuant to an equity exchange agreement whereby it acquired 51.5% its outstanding equity in exchange for 5,000,000 shares of Series B, Preferred Stock of the Company. On April 13, 2022, the Company acquired the remaining 48.5% of Funny Media Group for an additional 1,000,000 shares of Series B, Preferred Stock of the Company making it a wholly owned subsidiary.

Pursuant to this agreement, UMAX Group acquired 51% of all outstanding equity of Funny Media Studios (making it a majority owned subsidiary) in exchange for 1,500,000 shares of Series B, Preferred Stock of UMAX Group.

UMAX Group Corp. (OTCPK:UMAX) acquired Mazuma Transportation Company. UMAX Group Corp. (OTCPK:UMAX) entered into an equity exchange agreement to acquire Mazuma Transportation Company on January 29, 2021. As part of the agreement UMAX acquired all outstanding equity of Mazuma Transportation in exchange of 1 million Series B, Preferred stock. There is contractual rider which states that the Series B Preferred Stock to be issued as part of this acquisition cannot be converted to the Common Stock of the Company for a period of three calendar years or Mazuma Transportation has four profitable consecutive quarters, whichever comes first. Mazuma Transportation will become a fully owned and operational subsidiary of UMAX. The acquisition will add over $1.3 million to the balance sheet of UMAX in hard assets with debt of less than $0.2 million.

UMAX Group Corp. (OTCPK:UMAX) acquired Home Foam Corporation. UMAX Group Corp. (OTCPK:UMAX) executed an equity exchange agreement to acquire Home Foam Corporation on November 20, 2020. Pursuant to this agreement, UMAX acquired all outstanding equity of Home Foam in exchange for 1 million shares of Series B, Preferred Stock of the UMAX. Additionally, there is contractual rider which states that the Series B Preferred Stock to be issued as part of this acquisition cannot be converted to the Common Stock of UMAX for a period of three calendar years or Home Foam has four profitable consecutive quarters, whichever comes first. As a result of the transaction, Home Foam will become a wholly owned subsidiary of UMAX.
