If the Company does not qualify for the second compliance period or fails to regain compliance with the Bid Price Requirement during the second 180-day period, Nasdaq will notify the Company of its determination to delist the common stock, at which point the Company would have an opportunity to appeal the delisting determination to a Hearings Panel. The Company intends to actively monitor the closing bid price of the Company’s common stock between now and March 25, 2024 and may, if appropriate, evaluate available options to resolve the deficiency and regain compliance with the Bid Price Requirement. (the Company") received notice (the Notice") from the Listing Qualifications staff of The Nasdaq Stock Market LLC (Nasdaq") notifying the Company that it is currently not in compliance with the minimum bid price requirement set under Nasdaq Listing Rule 5550(a)(2), which requires listed securities to maintain a minimum bid price of $1.00 per share. Nasdaq Listing Rule 5810(c)(3)(A) provides that a failure to meet the minimum bid price requirement exists if the deficiency continues for a period of 30 consecutive business days. Based on the closing bid price of the Company's common stock for the 30 consecutive business days from November 12 through December 24, 2024, the Company no longer meets the minimum bid price requirement. The Notice has no immediate effect on the listing of the Company's common stock, which will continue to trade uninterrupted on Nasdaq under the ticker CBAT". Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Company has a compliance period of 180 calendar days, or until June 24, 2025 (the Compliance Period"), to regain compliance with Nasdaq's minimum bid price requirement.
