The notes bear fixed annual rate of 4.75% and mature on October 15, 2030. The notes are issued at par, are subordinated, have a ten-year maturity term and, from and including the date of issuance to but excluding October 15, 2025, will bear interest at a fixed annual rate of 4.75%, payable semi-annually in arrears, and from and including October 15, 2025 to but excluding the maturity date or earlier redemption date, the interest rate shall reset quarterly to an interest rate per annum equal to the then-current three-month secured overnight financing rate (SOFR), plus 458 basis points, payable quarterly in arrears. In the event the three-month secured overnight financing rate (SOFR) is less than zero, the three-month secured overnight financing rate (SOFR) will be deemed to be zero.
