Holistic Impact PTE. Ltd. agreed to acquire 14.99% stake in PRTR Group Public Company Limited (SET:PRTR) from Jaymart Group Holdings Public Company Limited (SET:JMART) for approximately THB 300 million on October 8, 2025. A cash consideration of THB 300.6 million valued at THB 3.34 per share will be paid by Holistic Impact PTE. Ltd. Jay Mart Public Company Limited (SET:JMART) entered into the Share Purchase Agreement to acquire 15% stake in BNN Restaurant Group Company Limited from existing shareholders on November 8,2022. In related transaction Jay Mart Public Company Limited also entered into Share Subscription Agreement (SSA), Jay Mart Public Company Limited will purchase 352,941 ordinary shares of BNN, representing 30% of the total registered shares total value of consideration is THB 1.2 billion, It is the purchase of 176,471 ordinary shares from the existing shareholders, representing 15%, and the purchase of 176,470 capital increase shares of BNN, representing 15%.Jay Mart Public Company Limited reported a turnover of THB 1.6 billion, Total assets worth THB 542 million, Net income of THB 148 million and Total common equity worth THB 317 million in December 31, 2021. The transaction has been approved by Jay Mart Public Company Limited board of directors.The transaction is expected to complete within the 4th quarter of this year.
