Asphere Innovations Public Company Limited Announces Board Changes Asphere Innovations Public Company Limited announced that Mr. Santithorn Bunchua has resigned from the position of director, due to being occupied with personal reasons that do not allow him to continue performing his duties in the position. The resignation has been effective since 12 February 2024 onward. The Board of Directors' meeting No. 3/2024, convened on 12 February 2024, has passed the resolution appointed Mr. Teeradet Dumrongbhalasitr to be a director in place of Mr. Santithorn Bunchua who resigned; thus, Mr. Teeradet Dumrongbhalasitr shall retain the position for the remaining term of the resigned director. Prima Marine Public Company Limited (SET:PRM) announces a share repurchase program. Under the program, the company will repurchase up to 15,000,000 shares, representing 2.96% of its issued share capital, for THB 120 million. The repurchase price will not exceed 115% of average closing price of 5 consecutive business days prior to each repurchase date. The purpose of the program is o increase the return on equity (ROE) and the earning per share (EPS). The repurchase program will be valid till April 18, 2024. Free Ocean Games Pte. Ltd. agreed to acquire a 61.68% stake in CIB Development Sdn. Bhd. from Asphere Innovations Public Company Limited (SET:AS) for MYR 12.3 million. Free Ocean Games Pte. Ltd. agreed to acquire a 61.68% stake in CIB Development Sdn. Bhd. from Asphere Innovations Public Company Limited (SET:AS) for MYR 12.3 million on September 14, 2023. The cash consideration is divided into 2 installments (the payment of first installment upon completing the relevant documents and migrating the application system and the last installment when completing the transfer of shares). Upon completion, CIB Development will cease to be a subsidiary of Asphere Innovations Public Company. The net asset of CIB Development was MYR 6.62 million, as of 30 June 2023. The transaction has been approved by the Board of Directors and the Audit Committee of Asphere Innovations Public Company. The transaction is expected to complete within the third quarter of 2023. The proceeds from disposition will be used for the working capital of Asphere Innovations Public Company.
