The consideration consists of 3.44 million common equity of Compodium International AB (publ) to be issued for common equity of Secureappbox AB. SecureAppbox reported FY2023 recurring contract-based subscription revenue ("ARR") of SEK 14.2 million. The transaction is subject to approval from authorities, customary conditions and approval of an extraordinary general meeting. The transaction is expected to be completed in September 2024. Compodium acquires 100 percent of the shares in SecureAppbox for SEK 27.5 million through a reverse and subsequent offset issue of newly issued shares at a subscription price of SEK 8.0 per share. After the completion of the transaction, the old shareholders of Compodium will own 60 percent of the company, of which the shareholders of SecureAppbox will own 40 percent. The consideration consists of 3.44 million common equity of Compodium International AB (publ) to be issued for common equity of Secureappbox AB. SecureAppbox reported FY2023 recurring contract-based subscription revenue ("ARR") of SEK 14.2 million. The transaction is subject to approval from authorities, customary conditions and approval of an extraordinary general meeting. The transaction is expected to be completed in September 2024. Compodium acquires 100 percent of the shares in SecureAppbox for SEK 27.5 million through a reverse and subsequent offset issue of newly issued shares at a subscription price of SEK 8.0 per share. After the completion of the transaction, the old shareholders of Compodium will own 60 percent of the company, of which the shareholders of SecureAppbox will own 40 percent. After the completion of the transaction, Compodium will reach an ARR of approx. 45 MSEK and is expected to report a positive cash flow for the full year 2025. A consortium of lenders consisting of the company's largest shareholder has entered into an agreement to issue a credit facility of SEK 7.2 million to the company to cover the company's short-term capital needs.
