Under the terms of the agreement, Synaptics stockholders will receive 1.35 shares of onsemi common stock for each share of Synaptics common stock held at the time of closing, implying pro forma ownership of approximately 12% for Synaptics stockholders on a fully diluted basis. The purchase price represents an approximately 19% premium to the volume weighted average closing prices of onsemi and Synaptics over the last 10 trading days. In case of termination of transaction, ON Semiconductor Corporation will pay a termination fee of $320 million and seller will pay a termination fee of $235 million. As part of the transaction, one member of the Synaptics Board of Directors is expected to join onsemi’s Board of Directors. The transaction is subject to subject to antitrust regulations, approval by regulatory board / committee, approval of offer by Synaptics shareholders, registration statement effectiveness(S-4 / F-4) and listing / approval of new shares on stock exchange. The deal has been unanimously approved by the board of both parties. The expected completion of the transaction is in mid-2027.
