The total disposal consideration of NAD290 million is payable in cash on the Effective Date. In addition to the Consideration, an agterskot amount (“Agterskot”) may become payable in the event of an agreed target net operating income (“NOI”) yield being achieved by Safari Namibia during the 12 month period following the Effective Date. NAD1 million upon achievement of an NOI of at least NAD32.01 million during the NOI Measurement Period; and NAD 10 million upon achievement of an NOI of NAD 33 million or more during the NOI Measurement Period.
