(NYSE:TMO) entered into an agreement to acquire Purification Business of Solventum Corporation for $4.1 billion on February 25, 2025. Once the transaction closes, Solventum’s Purification & Filtration business will become part of Thermo Fisher's Life Sciences Solutions segment. The transaction is subject to regulatory approval, the expiration or termination of any required waiting periods under the Hart-Scott Rodino Antitrust Improvements Acts of 1976, as amended, the receipt of certain other applicable antitrust approvals and clearance under certain foreign investment laws, and customary closing conditions. The transaction is expected to be completed by the end of 2025. As of June 25, 2025, Solventum and Thermo Fisher entered into an Amended and Restated Transaction Agreement, to exclude Solventum’s drinking water filtration business from the scope of the purification and filtration business and reduce the cash consideration payable for the acquired business at the closing of the transaction from approximately $4.10 billion to approximately $4.00 billion with net proceeds still intended to be used primarily to pay down debt.
