Objectone Information Systems Ltd. Announces Board and Committee Changes
ObjectOne Information Systems Limited, at its Meeting held on July 25, 2026, has considered and approved/taken note of the following: The Board took note of the completion of the second and final term of Mr. Jaya Prakash Narayana Valluru (DIN: 02266152) and Mrs. Earneni Kavitha (DIN: 03108656) as Independent Directors of the Company. Accordingly, Mr. Jaya Prakash Narayana Valluru (DIN: 02266152) and Mrs. Earneni Kavitha (DIN: 03108656) shall cease to hold office as Independent Directors of the Company with effect from the close of business hours on July 30, 2026, upon completion of their respective second and final terms of appointment. The cessation of Mr. Jaya Prakash Narayana Valluru (DIN: 02266152) and Mrs, Earneni Kavitha (DIN: 03108656) is solely on account of completion of their respective second and final terms as Independent Directors and is not due to resignation or any other reason. Based on the recommendation of the Nomination and Remuneration Committee and after satisfying itself regarding the integrity, expertise, experience, proficiency and fulfilment of the criteria of independence prescribed under the Companies Act, 2013 and the SEBI LODR Regulations, the Board approved the appointment of Mr. Muttuluri Narsimhappa (DIN: 03319847) as an Additional Director (Non-Executive, Independent Director) of the Company with effect from July 25, 2026, pursuant to Sections 149, 150, 152 and 161 of the Companies Act, 2013. Mr. Muttuluri Narsimhappa shall hold office as an Additional Director up to the date of the ensuing Annual General Meeting or the last date on which the Annual General Meeting should have been held, whichever is earlier. Further, as Mr. Muttuluri Narsimhappa (DIN: 03319847) has attained the age of seventy-five years, his appointment is also subject to the approval of the Members by way of a Special Resolution pursuant to Regulation 17(1A) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. It is further confirmed that Mr. Muttuluri Narsimhappa (DIN: 03319847) is not debarred from holding the office of Director by virtue of any Order passed by the Securities and Exchange Board of India or any other authority. Consequent upon the completion of the second and final term of Mr. Jaya Prakash Narayana Valluru (DIN: 02266152) and Mrs. Earneni Kavitha (DIN: 03108656) and the appointment of Mr. Muttuluri Narsimhappa (DIN: 03319847) as an Additional Director (Non-Executive, Independent Director), the Board approved the reconstitution of the following Committees of the Board with effect from the close of business hours on July 30, 2026: Audit Committee; Nomination and Remuneration Committee; and Stakeholders' Relationship Committee. Pursuant to the approval of the Board of Directors at its Meeting held on July 25, 2026 and consequent upon the completion of the second and final term of Mr. Jaya Prakash Narayana Valluru (DIN: 02266152) and Mrs. Earneni Kavitha (DIN: 03108656) as Independent Directors of the Company, the Board approved the reconstitution of the following Committees with effect from the close of business hours on July 30, 2026: 1. AUDIT COMMITTEE: Mr. Ramesh Kode, Chairman (DIN: 10849643); Mts. Himabindu Kantamneni, Member (DIN: 00497060); Mr. Muttuluri Narsimhappa, Member (DIN: 03319847). 2. NOMINATION AND REMUNERATION COMMITTEE: Mr. Ramesh Kode, Chairman (DIN: 10849643); Mrs. Himabindu Kantamneni, Member (DIN: 00497060); Mr. Muttuluri Narsimhappa, Member (DIN: 03319847). 3. STAKEHOLDERS' RELATIONSHIP COMMITTEE: Mr. Ramesh Kode, Chairman (DIN: 10849643); Mrs. Himabindu Kantamneni, Member (DIN: 00497060); Mr. Muttuluri Narsimhappa, Member (DIN: 03319847). Mr. Muttuluri Narsimhappa is a retired Indian Revenue Service (IRS) officer with over three decades of distinguished service in the Income Tax Department under the Ministry of Finance, Government of India. He holds a Master's Degree in Economics from Sri Venkateswara University, Tirupati. During his career, he served in several senior positions, including Chief Commissioner of Income Tax, Commissioner of Income Tax, Additional Commissioner of Income Tax and Joint Commissioner of Income Tax. He has also represented India at international forums and has received several recognitions for excellence in tax administration and public service. He presently serves on the Boards of various companies and is actively associated with corporate governance, education and public service initiatives.
