Centerac Technologies Limited Announces Intimation Related to Appointment of Woman Director In continuation of outcome of Board Meeting dated 14th February 2023, Centerac Technologies Limited announced that Ms. Sweta Sarraf, Company Secretary and Compliance Officer of the Company, has proposed her candidature for the appointment as Woman Director under section 149(1) of the Companies Act, 2013 read with Rule 3 of the Companies Appointment and Qualification of Director) Rules, 2014. As are also aware that the Ministry of Corporate Affairs (MCA) is in the process of upgrading the present version of portal from Version 2 to Version 3 they have rolled out 46 forms on 23rd January, 2023 out of which one form DIR-3 that is related to application for obtaining Director Identification Number (DIN). As due to transition the users are facing technical difficulties in filing of forms and if the forms have been filed the uploading couldn't be completed. Centerac Technologies Limited announced that it expects to receive INR 5 million in funding from Concept Communication Limited Centerac Technologies Limited announced a private placement of up to 500,000 optionally convertible debentures at a price of INR 10 per share for gross proceeds of INR 5,000,000 on February 16, 2022. The transaction included participation from Tanya Goyal for 50,000 shares, Kamlesh Thakur for 50,000 shares, Deep Lalvani for 50,000 shares, Sunil Mehta for 50,000 shares, Rajesh Chaturvedi for 50,000 shares, Concept Communication Limited for 2,50,000 shares. The debentures are issued on preferential basis. The debentures have an interest rate of 5%, and have a term of 2 years from the date of allotment. The debentures will be converted at the option of debenture holder in the eighteenth month from the date of allotment. Each debenture will be converted into fully paid up equity shares at a price which would be the higher of INR 10 per share or price to be determined at the time of conversion in accordance with the pricing Regulation mentioned under Chapter V of SEBI ICDR Regulations.
