Zhejiang Huayou Cobalt Co., Ltd (SHSE:603799) entered into a binding Scheme Implementation Deed to acquire Atlantic Lithium Limited (AIM:ALL) from Assore International Holdings Limited for approximately $200 million on May 7, 2026. A cash consideration of $207.45 million valued at $0.25486 per share will be paid by Zhejiang Huayou Cobalt Co., Ltd. As part of consideration, $204.27 million is paid towards common equity, $0.67 million is paid towards LSI Warrants, and $3.18 million is paid towards Performance Rights of Atlantic Lithium Limited.
The transaction is subject to subject to antitrust regulations, subject to court approval, approval by regulatory board / committee, approval of merger agreement by target board and approval of offer by target shareholders. The deal has been unanimously approved by the board of Atlantic Lithium Limited

Atlantic Lithium Limited Announces Board Changes Atlantic Lithium Limited announced that Neil Herbert would be stepping down from his position as Executive Chairman to become Non-Executive Chairman and that his remuneration would be reduced in line with his new role. The change to the Company's leadership structure, which sees the management of the Company consolidated under the leadership of Chief Executive Officer ("CEO") Keith Muller, is aimed at reducing costs, as well as streamlining the Company's decision-making, intended to improve operational efficiency as the Company nears the development of the Project. Atlantic Lithium Limited Provides Update Regarding the Status of the Mining Lease in Respect of its Ewoyaa Lithium Project in Ghana Atlantic Lithium Limited provided the following update regarding the status of the Mining Lease in respect of its Ewoyaa Lithium Project in Ghana. The Company welcomes the comments made during the legislative session on 16 July 2025, in which the Minister of Lands and Natural Resources, Hon. Emmanuel Armah-Kofi Buah, confirmed that Cabinet had authorised that revised terms of the Mining Lease be negotiated and presented for review by Cabinet, and by Parliament thereafter, per the necessary process for legislative ratification. In his remarks, the Minister highlighted the importance of the job creation potential that the Project presents, noting the immense support from residents of the Project's catchment area in the Central Region for the continued advancement of the Project, in addition to the economic benefits that Ewoyaa is expected to generate. The Project is expected to play an important role in the socio-economic development of the region through its spodumene concentrate production activities and offers considerable employment for Ghanaians, which, the Company believes, aligns with objectives set by President John Mahama during his successful December 2024 election campaign. The Mining Lease was granted by Ghana's Ministry of Lands and Natural Resources in respect of the Project in October 2023 during a period of elevated lithium prices. Since then, lithium prices have fallen significantly. As previously disclosed, the Company has engaged relevant stakeholders in Ghana, including government representatives, to seek fiscal terms of the Mining Lease that reflect the current lithium pricing environment and that ensure that the Project delivers long-term benefits for Ghana and Ghanaians. With all of the necessary regulatory approvals secured, legislative ratification of the Mining Lease represents the final stage of the Project's permitting phase and will enable the Company to advance the financing of the Project. The Company remains confident that ratification of the Mining Lease will be forthcoming in accordance with due legislative process and is supporting the process where possible. Mr. Muller, who brings over 20 years of lithium mining experience, will now lead all operational and strategic activities as the Company advances the Ewoyaa Lithium Project ("Ewoyaa" or "the Project") towards construction and production.
