By acquiring the remaining stake, we will gain full control of this important sales channel, enabling further sales and cost synergies. The purchase price for the 55% stake in Celebert ApS, on a debt-free basis, is expected to be in the range of DKK 60-85 million. The final purchase price for the shares has not yet been determined, as a number of outstanding issues are being discussed by the parties but will not exceed DKK 87.5 million. As of November 10, 2025 TCM Group agreed on the final purchase price with the seller for the remaining 55% of shares in Celebert ApS. The agreed purchase price amounts to DKK 80 million. On November 19, 2025 the Danish competition authorities approved the transaction, and we expect it to close November 25, 2025. The purchase price for the shares will be paid in cash by TCM Group A/S and financed through a combination of existing and new bank credit facilities. By acquiring the remaining stake, we will gain full control of this important sales channel, enabling further sales and cost synergies. The purchase price for the 55% stake in Celebert ApS, on a debt-free basis, is expected to be in the range of DKK 60-85 million. The final purchase price for the shares has not yet been determined, as a number of outstanding issues are being discussed by the parties but will not exceed DKK 87.5 million. As of November 10, 2025 TCM Group agreed on the final purchase price with the seller for the remaining 55% of shares in Celebert ApS. The agreed purchase price amounts to DKK 80 million. On November 19, 2025 the Danish competition authorities approved the transaction, and we expect it to close November 25, 2025. The purchase price for the shares will be paid in cash by TCM Group A/S and financed through a combination of existing and new bank credit facilities. The transaction is subject to usual regulatory approvals including an approval from the competition authorities and is expected to close in Q4 2025 TCM Group A/S (CPSE:TCM) completed the acquisition of 55% stake in Celebert Aps on November 25, 2025.

The purchase price for the shares in Aubo will, on a debt free basis, amount to DKK 165 million plus potential earn-out payments linked to the performance of the company going forward. Assuming all targets in the earn-out agreements are met, the total purchase price will amount to in total DKK 225 million. Aubo Production's Net sales in 2022 were DKK 292 million. As part of the acquisition agreement the sellers of the company will issue a vendor note for a part of the sales price as well as accept payment in form of shares in TCM Group amounting to DKK 10 million. The shares will be issued in connection with the closing of the transaction. The remaining cash payment will be financed by a bank credit facility. The management of Aubo Production A/S will remain in place after the transaction, and the production in the facilities in Aulum will continue in full operation. The transaction is expected to close shortly.
