ABEO and VOGO entered into, with the unanimous approval of their respective Boards of Directors, a combination agreement to define the terms and conditions of ABEO’s proposed acquisition of the VOGO shares that ABEO does not currently hold, through a voluntary public offer without the intention of implementing a squeeze-out. This transaction is unanimously supported by the founders of VOGO who have undertaken to contribute all of their shares (representing 28.99% of VOGO's capital ) to the Offer.
