Each Unit will consist of one common share of the Company and one-half of one Share purchase warrant. Each Warrant will entitle the holder to acquire one additional Share of the Company at an exercise price of CAD 0.38 per Warrant Share for a period of three years from the Closing Date. The Company has granted the Lead Agent an option (the "Agents' Option") to increase the size of the Offering by up to an additional 2,142,857 Units at the Issue Price, for additional gross proceeds of up to approximately CAD 600,000 on the same terms and conditions as set out herein. The Agent's Option is exercisable in whole or in part at any time, up to two business days prior to the Closing Date. The securities issued under the Listed Issuer Financing Exemption will not be subject to a statutory hold period pursuant to applicable Canadian securities laws.
