The agreement includes a price adjustment mechanism linked to the shareholders’ equity value of the two companies resulting from the financial statements as of December 31, 2024, as well as put & call options that could lead Gefran to purchase 100% of CZ Elettronica S.r.l. shares within one year after the approval of the financial statements as of December 31, 2027, for a consideration calculated based on the total shareholders’ equity value of the two companies. The investment agreement also includes the signing of a long-term management contract with the current company management to ensure continuity and development. The transaction is subject to the fulfillment of certain conditions precedent usual for transactions of this kind. (BIT:GE) signed an investment agreement to acquire 60% stake in C.Z. Elettronica Srl along with it subsidiary Mecatronica S.R.L. for €0.87 million on March 18, 2025. The agreement provides for Gefran's entry into the corporate structure of CZ Elettronica S.r.l. through share transfer, as a result of which Gefran S.p.A. will hold 60% of the share capital for a total €8.7 million. The agreement includes a price adjustment mechanism linked to the shareholders’ equity value of the two companies resulting from the financial statements as of December 31, 2024, as well as put & call options that could lead Gefran to purchase 100% of CZ Elettronica S.r.l. shares within one year after the approval of the financial statements as of December 31, 2027, for a consideration calculated based on the total shareholders’ equity value of the two companies. The investment agreement also includes the signing of a long-term management contract with the current company management to ensure continuity and development. The transaction is subject to the fulfillment of certain conditions precedent usual for transactions of this kind. The transaction is expected to be finalized by the end of the first half of 2025.
