Solberg has also been a trusted board member in listed and unlisted companies in various industries and holds a MSc from Norwegian School of Economics (NHH) and University of Southampton. Subject to completion of the Transaction, Guardian Capital Group Limited will make an offer at NOK 12.00 per share for 69.84 million shares of Q-Free. Conditions for completion of the Transaction include, no material breach by Q-Free or Rieber of their undertakings in the Transaction Agreement, and The absence of a material adverse change. Guardian Capital Group Limited intends to make a compulsory acquisition of the remaining shares in Q-Free upon acquiring more than 90% of the shares in the Company under the Mandatory Offer. Completion of the Transaction is expected to take place in early October 2023. Advokatfirmaet Schjødt AS and Kirkland & Ellis are acting as legal advisors to Guardian. お知らせ • Jun 30Q-Free ASA Appoints Thale Kuvås Solberg as Chief Executive OfficerThe Board of Directors of Q-Free ASA announced the appointment of Thale Kuvås Solberg as Chief Executive Officer. hale Kuvås Solberg comes from the position as Chief Delivery Officer in Volue ASA and brings vast experience from JP Morgan, Ernst & Young Advisory and various executive positions in Sparebank 1 SMN. Solberg has also been a trusted board member in listed and unlisted companies in various industries and holds a MSc from Norwegian School of Economics (NHH) and University of Southampton. Thale Kuvås Solberg is expected to assume the position at latest at the end of the fourth quarter of 2022. As announced on 5 January 2022, Håkon Volldal is stepping down as CEO effective as of 30 June. Until Solberg assumes the position as CEO, Trond Christensen will function as Q-Free’s interim CEO. The largest shareholder, Rieberg & Soen AS holding 45.27% of the shares in Q-Free, appreciates and welcomes the interest in Q-Free, but is not willing to sell their shares on the proposed consideration structure and terms. The transaction is subject to completion of a satisfactory due diligence process, implicit minimum acceptance condition of more than 90% and the entering into of a definitive agreement. The contract is structured as an initial delivery in the first year with monthly recurring Operations & Maintenance revenues the following 7 years. The contract has an estimated value of NOK 40 million and comprises delivery of toll stations in Norway for E18 (Tvedestrand-Arendal) and E39 (Kristiansand-Lyngdal, Svegatjørn-Rådal) plus service and maintenance services for these stations over the next 15 years. The first toll stations will be delivered in 2021. Further deployments are expected in 2022 and 2024/2025. If options to purchase additional toll stations and corresponding service and maintenance services are exercised, the contract value could increase.
