It is intended that the Offer will be implemented by way of a Court-sanctioned scheme of arrangement under Part 26 of the 2006 Act (although Songtradr reserves the right to effect the Offer by way of a Takeover Offer, subject to the consent of the Panel and the terms of the Co-operation Agreement). 7digital Shares are currently admitted to trading on AIM. Prior to the Effective Date, an application will be made to the London Stock Exchange for the cancellation of the admission to trading of 7digital Shares on AIM, to take effect on or around the Business Day following the Effective Date. Trading in 7digital Shares is expected to end at the close of business on the Business Day before the Effective Date, assuming that the Scheme has been approved by the Court and by 7digital Shareholders as necessary.
