In addition, the founders may be eligible for an earn-out of up to €5.6 million, based on ezyCollect’s Annual Recurring Revenue (ARR) growth through the end of 2028. This earnout is currently estimated at approximately €3.3 million and would be settled equally in Sidetrade shares and cash. The acquisition is financed with Sidetrade’s cash on hand and a €25 million long-term credit facility with an interest rate of approximately 3.1%, fully hedged. The acquisition of ezyCollect is expected to close in the next few weeks, subject to customary closing conditions. America's Growth Capital, LLC acted as financial advisor for ezyCollect Pty Ltd.
