At its meeting on June 19, 2025, the Board of Directors of SRP Groupe decided to terminate François de Castelnau's term of office as Deputy Chief Executive Officer with effect from June 19, 2025, and noted François de Castelnau's subsequent decision to resign from his positions as Director and from all other functions within the Group, with immediate effect. To replace François de Castelnau, who has resigned, and on the proposal of David Dayan, Chairman and Chief Executive Officer of SRP Groupe, the Board of Directors, at its meeting of June 19, 2025, decided, on the recommendation of the Appointments and Compensation Committee, to co-opt Éric Dayan to the position of Director for the remainder of François de Castelnau's term of office, i.e. until the General Meeting of SRP Groupe convened to approve the financial statements for the year ending December 31, 2026. This co-optation will be submitted for ratification at the next Annual General Meeting of SRP Groupe. Éric Dayan, 44, is a recognized expert in the retail and event sales sectors, with an excellent knowledge of the Showroomprivé Group, having participated in its creation in 2006 as Associate Director, then Head of BtoB activity until the end of 2016. Éric Dayan has been a director of SRP Groupe for many years, his previous term of office having expired at the close of the Annual General Meeting on June 19, 2024. Since 2016, Éric Dayan has focused on entrepreneurial and investment activities. He co-founded of Highstay, a company specializing in the rental of high-end apartments offering premium hospitality and concierge services. Éric Dayan will bring his expertise in operational matters to the Board of Directors and will once again contribute fully to the Group's strategic orientations as it adapts its business model to changing customer expectations and the new competitive environment.
