Winamp Group Accelerates Direct-To-Fan Strategy with Global Rollout of Merchandising Ecosystem Winamp Group took a new step in the deployment of its Direct-to-Fan strategy by making its merchandising ecosystem globally available on Winamp for Creators. This launch opens a new monetization stream, enabling artists to generate revenue directly from their audience through physical products such as apparel, CDs and vinyl records. Winamp Group manages the entire value chain, from online sales to on-site sales at live events, as well as integration across platforms such as Spotify. To address the diversity of artist profiles, Winamp Group introduces flexible merchandising models — ranging from print-on-demand, enabling immediate monetization with no inventory risk, to fully customized collections for artists seeking greater control and higher margins. This approach allows creators at every stage to activate new revenue streams and grow alongside their audience. With the introduction of these new merchandising capabilities, Winamp Group further strengthens this positioning by enabling artists to launch and manage their own merchandise business within a fully integrated infrastructure. With no upfront investment or operational complexity, artists can create branded products, sell directly to their fans, and rely on Winamp Group to manage the entire value chain — from payments and inventory to logistics, fulfillment and sales tracking. Azerion Group N.V. (ENXTAM:AZRN) signed a binding transaction documentation to acquire 100% shares in Radionomy Group B.V. from Targetspot (ENXTPA:ALTGS) and others for €20 million on November 22, 2022. Targetspot holds 98.5% in Radionomy Group and rest two shareholders have collectively 1.5% shares. Under the terms of agreement Azerion Group will pay the consideration with shares and cash. In total, 2,782,644 Azerion shares worth €19.1 million will be transferred to the selling shareholders at closing of the transaction and such Azerion shares equivalent to up to €3 million are to be granted in April 2024, subject to certain earn-out conditions. Azerion’s shares currently held in treasury are sufficient to satisfy the share consideration. A total cash payment of €7.5 million paid in three tranches of €2.5 million each, at closing, at April 30,2023 and at January 31, 2024. The transaction perimeter includes Radionomy Group B.V. and all its subsidiaries and, as such, does not include Targetspot’s Winamp operations. In first half of 2022, Radionomy Group generated revenue of €13.4 million for EBITDA of €0.5 million.
