The transaction will be financed through a combination of committed equity and debt financing through funds affiliated with Altaris. Upon completion of the transaction, Simulations Plus’ headquarters is expected to remain in Research Triangle Park, North Carolina. Upon closing, Simulations Plus will become a privately held subsidiary of Altaris and its common stock will no longer be traded on the Nasdaq Stock Exchange. Additionally, Altaris anticipates Simulations Plus, Inc. will be combined with Chemical Computing Group.
