The consummation of the Transaction is subject to customary closing conditions, regulatory approvals, including the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, approval by the General Authority for Competition of the Kingdom of Saudi Arabia. The Purchase Agreement and the Transaction were unanimously approved by the special subcommittee of the Company’s board of directors (“Board”) and by the Company’s Board. (the Company") received a written notice from the New York Stock Exchange (the NYSE") that the Company is not in compliance with the continued listing standards set in Rule 802.01B of the NYSE Listed Company Manual because its average global market capitalization over a consecutive 30 trading-day period was less than $50 million and, at the same time, its last reported shareholders' equity was less than $50 million. As required by the NYSE, the Company intends to timely notify the NYSE of its intent to cure the deficiency and restore its compliance with the NYSE continued listing standards. In accordance with applicable NYSE procedures, the Company has 45 days from receipt of the notice to submit a plan advising the NYSE of the definitive action(s) the Company has taken, or is taking, that would bring it into compliance with the minimum global market capitalization listing standard within 12 months of receipt of the written notice. The consummation of the Transaction is subject to customary closing conditions, regulatory approvals, including the expiration or termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, approval by the General Authority for Competition of the Kingdom of Saudi Arabia. The Purchase Agreement and the Transaction were unanimously approved by the special subcommittee of the Company’s board of directors (“Board”) and by the Company’s Board. The sale is expected to close in the fourth quarter of 2022. Robert W. Baird & Co served as the exclusive financial advisor to TEAM on the transaction. Sean Thomas Wheeler, Cephas Sekhar of Kirkland & Ellis LLP served as TEAM’s legal counsel. McDermott Will & Emery LLP acted as legal advisor to Baker Hughes Holdings LLC. Baker Hughes Holdings LLC completed the acquisition of Quest Integrity Business from Team, Inc. (NYSE:TISI) for approximately $279 million on November 1, 2022. The net proceeds to the Company (after payment of transaction related expenses and certain other fees) will be approximately $270 million. The Company intends to use approximately $238 million of the proceeds to pay down term debt and to pay certain fees associated with that repayment and related accrued interest, with the remainder reserved for general corporate purposes.
