お知らせ • Oct 11Kingspan Tables Takeover Offer for Nordic WaterproofingIrish building materials provider Kingspan Group Plc (ISE:KRX) has made an offer for the shares it does not already own in Nordic Waterproofing Holding AB (publ) (OM:NWG) that values the Swedish company at SEK 3.85 billion (USD 351 million/EUR 332 million). The offer of SEK 160 in cash per share comes after in September Kingspan increased its stake in Nordic Waterproofing to 30.9% by buying 1.65 million at the same price. The price is at a premium of 13.8% to Nordic Waterproofing's shares on September 13, before Kingspan's purchase meant its holding crossed the mandatory bid threshold. The acceptance period for the offer is expected to be between November 23 and February 2024.

However, Kingspan says there is "no active engagement" at present. Kingspan says it has "admired" Scottsdale, Arizona-based Carlisle for many years, "recognising the clear strategic fit". Bloomberg on September 10, 2023 reported that Kingspan had proposed a tie-up with Carlisle that would create a company with a market value of USD 30 billion. However, this was rejected by Carlisle. Kingspan adds on September 13, 2023: "The North American roofing space remains a key area of interest for Kingspan".
