As consideration for the acquisition, Cleghorn shall, on the closing of the acquisition, issue to Crest Resources 1.5 million units (the "Payment Units") of Cleghorn. Each Payment Unit shall consist of one common share of Cleghorn and one-half of one warrant. Each warrant shall entitle the holder to acquire an additional common share at a price of CAD 0.10 per share for a period of two years from the date of issuance.
