NextPlat Corp Regains Compliance With Nasdaq Bid Price Requirement As previously disclosed, on April 28, 2025, NextPlat Corp. received a written notice (the Notice) from the Listing Qualifications Department (the Staff) of The Nasdaq Stock Market LLC (Nasdaq) notifying the Company that, because the closing bid price for the Company's common stock, par value $0.0001 per share (the Common Stock), closed below $1.00 per share for 30 consecutive trading days, the Company no longer met the minimum bid price requirement for continued inclusion on The Nasdaq Global Market pursuant to Nasdaq Listing Rule 5450(a)(1) (the Bid Price Requirement). The transaction is subject to subject to regulatory and stockholder approvals, and other customary closing conditions. The Closing is subject to certain conditions, including, among other things, (i) approval by the shareholders of the Company of the Merger, (ii) approval by the shareholders of Parent of the Merger, (iii) the Registration Statement being declared effective under the Securities Act, (iv) the Company’s delivery of officer’s certificate, and (v) Parent’s delivery of officer’s certificate, as well as all required filings under the HSR Act shall have been completed and any applicable waiting period (and any extension thereof) applicable to the consummation of the Transactions under the HSR Act shall have expired or been terminated. The transaction has been unanimously approved by the Board of Directors of both NextPlat and Progressive Care.
