ADM Energy plc Announces First Production At Altoona Lease ADM Energy PLC announced the initiation of production at the SPI-1 well at the Altoona Lease, Kern County, California (the "Lease"). Investment Update On 17 April 2025, the Company announced that the Board had decided to transfer the ownership of the Lease to its 100% owned investee company Vega Oil and Gas LLC ("VOG"), as a part of an investment restructuring to better manage the Company's onshore U.S. oil and gas investments. Further to the announcement, the Company has invested USD 100,000 to buy out the underlying oil and gas lease from the previous lease holder (the participation of the Company was previously via farm-in). The purchase of the lease includes in-place equipment and infrastructure including five new pump jacks and a new 150-barrel storage tank. Following completion of the investment, the SPI-1 well was put into production on 18 April 2025. As of 16 May 2025, the SPI-1 well has now produced approximately 90 barrels of oil or an average of approximately 3 barrels per day. The initial USD 150,000 of the USD 750,000 total sum from the farm-out consortium has been escrowed and will be used to fund the remainder of Phase 1. VOG is currently working with its partners to plan Phase 2 of the work program which will consist of the deepening of two wells in order to test deeper potential pay zones that are also currently producing in a neighbouring lease that is operated by Chevron (USA). As noted in the announcement on 17 April 2025, the remaining USD 600,000 has been deposited into escrow and will be released upon completion of necessary pre-drill regulatory and technical work, and will be utilised to facilitate Phase 2. ADM Energy plc Announces Board Changes ADM Energy plc announced that, effective immediately, Stefan Olivier has resigned from his role as Executive Director of the Company. ADM Energy plc Announces Board Changes ADM Energy PLC announced the appointment of Lord Henry Bellingham as Chairman of the Board of Directors of ADM Energy plc and the resignations of Oliver Andrews and Richard Carter. Lord Bellingham has served as a non-executive director of the Company since July 2020 and has enjoyed a distinguished Parliamentary career of almost 40 years and held a number of senior positions including: Foreign Office Minister for Africa, The UN, Caribbean, Overseas Territories and Conflict Issues; Chairman of the Westminster Foundation for Democracy; Chairman of the All-Party Group on the Commonwealth; and the Prime Minister`s Trade Envoy to Libya. In 2016, he was Knighted in the New Year Honours list for Parliamentary and Political Service. He sits in the House of Lords after being awarded a Life Peerage in 2020. In addition to his Parliamentary career, Lord Bellingham has held five former non-executive roles for AIM companies, and this includes chairing Pathfinder Minerals plc. He is also currently chairman of four private companies. Prior to entering Parliament, Lord Bellingham practised as a barrister having graduated from Magdalene College, Cambridge with a master's degree in Law. The appointment of Lord Bellingham follows the anticipated resignation, which had been planned since early 2023, of Mr. Oliver Andrews as Chairman of the Board, a position he has held since 2 August 2021. Mr. Andrews, who is resigning to focus on other endeavours, has provided steady guidance to the Board and Company during 2023 as the Company has transitioned its management team and diversified to include oil and gas assets in the USA. UK Limited for $1.1 million on March 23, 2021. The consideration includes $0.25 million cash payment at completion and $0.55 million by issue of 5,657,912 ordinary shares of ADM Energy. ADM Energy PLC xtends Agreement with Trafigura Pte Ltd Further to the announcement of 3 February 2020, ADM Energy PLC announced that is has extended for a further 12 months its indicative MOU to enter into a strategic alliance with Trafigura Pte Ltd. ("Trafigura"), a market leader in the global commodities industry. There are no other changes to the original MOU. ADM and Trafigura intend to create a strategic alliance that enables the development and financing of energy projects in Africa. Under the terms of the MOU, ADM will act as the sponsor for investment opportunities in the African energy sector ("Projects") which will be presented to Trafigura for consideration as a trading counterparty, or financing provider. Trafigura will be entitled to provide ADM with conditional pre-financing of up to USD 100 million for the acquisition or development of Approved Projects. ADM Energy plc (AIM:ADME) completed the acquisition of an additional 25% stake in Oil Mining Lease No. 113 in Nigeria from EER (Colobus) Nigeria Limited for $2.6 million. ADM Energy plc (AIM:ADME) entered into an agreement to acquire an additional 25% stake in Oil Mining Lease No. 113 in Nigeria from EER (Colobus) Nigeria Limited for $3 million on February 24, 2020. Under the agreement, ADM Energy plc shall issue shares equivalent to $2 million and $1 million shall be payable in cash. As on April 27, 2020, DM agreed with EER an extension of a further 60 days to make the deposit payment, which it is now setting. As on May 14, 2020, ADM Energy and EER reached an agreement for the immediate payment, in cash and shares of $0.25 million deposit. ADM Energy plc paid cash of $0.125 million and remaining $0.125 million through issuance of 4.24 million shares. The deposit is refundable and, in the event of the termination of the agreement, the cash component of the deposit will be refunded and the deposit shares will be acquired at nominal value or returned for no consideration. Application has been made for the Deposit Shares, which total 4.24 million shares to be admitted to trading on AIM. It is expected that Admission of the shares will become effective and that dealings will commence at 8.00 a.m. on or around May 19, 2020.
As on August 25, 2020, ADM Energy announce that it has raised a total of $0.88 million by way of a placing and subscription for new ordinary shares. The funds will be used primarily to complete the cash element of the agreement with EER (Colobos) Nigeria Limited. Following the Fundraise, ADM and EER have agreed that of the remainder of the cash component of $0.75 million, $0.25 million will be settled through issuance of 3.4 million shares and $0.5 million will be settled in cash. All payments due, in cash or shares, will be paid on completion of the agreement. Completion of the transaction is conditional upon the consent of the Nigerian Minister of Petroleum Resources. Parties has agreed for long stop date of 180 days after signing the agreement. Directors of ADM Energy, having consulted with the nominated adviser consider that the terms of the transaction are fair and reasonable. As of September 30, 2020, the transaction is expected to be completed in second half of 2020. With 35 years' experience in the Oil & Gas sector and Investment Banking, Lionel, a Chartered Financial Analyst with an MBA from INSEAD, spent just under a decade at the beginning of his career as an Exploration and Production Geoscientist at European supermajor, Royal Dutch Shell ("Shell"). At Shell, he held international positions, including a stint at Shell's global headquarters in The Hague. After Shell, Lionel spent over a decade at J.P. Morgan Asset Management as a Senior Investor with a strategic investment focus on Oil & Gas investments, amongst other sectors. He also spent five years as Managing Director at Standard Bank Group, Africa's largest Bank, heading up Oil & Gas Equity and Commodity Research, where he helped to develop an Oil & Gas ECM capability which raised in excess of US$1bn. Lionel has founded a London-based Corporate Finance and Capital Markets Advisory boutique rooted in the Oil & Gas sector, advising multiple companies on fundraises, M&A and Capital Markets transactions, particularly in the West Africa region, ADM's principal area of business. Furthermore, in his capacity as Director at Fox Davies Capital, Lionel was a key advisor to ADM. ADM Energy plc announced that it expects to receive £0.2 million in funding ADM Energy plc (AIM:ADME) entered into a definitive agreement to raise £200,000 through unsecured loan facilities with a consortium of investors on August 25, 2020. The loan, together with any interest which accrues at 10% per annum, is repayable in full on maturity on August 15, 2021. Pursuant to the terms of the loan facilities, the company has agreed to grant 3,636,364 warrants to subscribe for ordinary shares in the Company at an exercise price of 5.5 pence per share or the placing price of any subsequent fundraise during the term of the warrants to the lenders, pro rata to the value of each loan. The warrants may be exercised (subject to the requisite shareholder authorities being in place) and have a life of two years from the date of this announcement.
