GUD Holdings Limited (ASX:GUD) completed the acquisition of ACAD businesses from AMA Group Limited (ASX:AMA). GUD Holdings Limited (ASX:GUD) entered into a binding Share Sale and Purchase Agreement to acquire ACAD businesses from AMA Group Limited (ASX:AMA) for AUD 65.5 million on November 19, 2020. The acquired businesses does not include FluidDrive and other businesses in AMA Group’s Automotive Parts & Accessory Solutions division. Consideration is subject to customary purchase price adjustments (e.g. make good, long service leave) and capex adjustments. Transaction will be funded from fully underwritten institutional placement of GUD to raise approximately AUD 55 million, Non-underwritten share purchase plan to raise AUD 15 million and up to AUD 20 million of debt to be drawn down from existing debt facilities.
Completion of the acquisition is conditional on GUD successful completion of the Equity Raising and certain other conditions being finalisation of a pre-completion restructure, no material adverse change having occurred in respect of the target entities, payment of an earnout in respect of an historical transaction and New Zealand Overseas Investment Office (‘OIO’) direction. Acquisition is expected to complete prior to December 31, 2020. AMA will use proceeds of the sale of circa AUD 70 million to retire debt and importantly set the Group up for continued growth in its core Panel Repairs operations. GUD expects the acquisition to be mid single-digit pro forma FY21F EPSA accretive. KPMG Corporate, Perth acted as financial adviser for AMA.
