BCPG Public Company Limited Proposes Dividend for the Second Half of the Year 2023, Payable on 22 April 2024 BCPG Public Company Limited at the AGM held on April 9, 2024 proposed the shareholders' meeting to approve the allocation of reserved fund according to the law and the allocation of net profits for second half from the performance in the 2023 year at the rate of THB 0.15 per share. In this regard, if the interim dividend payment of the entire year of 2023 (at the rate of THB 0.10 per share) have been included, the total sum of the 2023-year dividend will be THB 0.25 per share, amounting to approximately THB 740.25 million. The Share Purchase Price will be paid in cash. BCPG will sell the ordinary shares of SEGHPL, totaling 250,801 shares or 1/3 of total shares. Post transaction PT Barito Pacific Tbk will hold 66.7% and Springhead Holdings Pte Ltd will hold 33.33%. The completion of the share sales pursuant to the Share Sales and Purchase Agreement is conditional upon the complete satisfaction or waiver of the various conditions precedent, which includes the following key conditions precedent: (a) PT Barito Pacific Tbk has consented the transaction and the Buyer to be the party to the Shareholder’s Agreement, in place of the BCPG. The Buyer has an obligation to procure PT Barito Pacific Tbk to provide such consent and BCPG expects that the consent will be obtained by February 28, 2022. (b) The board of directors of SEGHPL has pass the resolution to approve the share sales in SEGHPL and the proceedings relating to the such share sales, including the entry into various agreements relating to the share sales and the appointment of the two persons nominated by the Buyer to hold the position of director in SEGHPL. In this regard, on February 15, 2022, SEGHPL informed BCPG that the aforesaid matters have already been approved by SEGHPL Board of Directors’ Meeting.
If all conditions precedent are not satisfied or waived within three months following the execution date of the Share Sales and Purchase Agreement, the agreement is deemed terminated. BCPG has its Board of Directors’ Meeting on January 26, 2022 which has passed the resolution to approve the disposal. Expected completion of transaction is within the first quarter of 2022. BCPG intends to use the cash received from the share sales to invest in other projects pursuant to the BCPG investment plan.

BCPG Public Company Limited (SET:BCPG), Phatpuree Chinkulkitnivat and Niwat Adirek entered into a Share Sale and Purchase Agreement to acquire RPV Energy Company Limited from Eternity Power Public Company Limited, Yuth Chinsupakul, Sumalee Aongjarit and Charan Rattanachotnan for approximately THB 870 million on July 31, 2020. Consideration shall be paid in 3 instalments as follows: First instalment of THB 601 million which is paid on the Completion Date when shares are transferred to. Second instalment of THB 120 million which is paid (1) within 30 days after Completion Date or (2) within 30 days after the consolidated financial statements for the interim period ending on 31 June 2020 audited by the auditor of the Company (which ever occurs later). In this regard, such price will be based on the adjustment in accordance with the method as specified in the Sale and Purchase Agreement. Final instalment: THB 150 million which is paid (1) on 17 October 2022 in case that the power purchase agreements have been validly renewed and no termination is made by the Provincial Electricity Authority due to such expiry or (2) on the date in which BCPG Public Company transfers the sale shares of RPV to any third party that is not a subsidiary of BCPG Public Company (which ever occurs first). Eternity Power Public Company holds 99.99% stake in RPV Energy Company Limited, Yuth Chinsupakul holds 10 shares, Sumalee Aongjarit holds 10 shares and Charan Rattanachotnan holds 500 shares in RPV Energy Company Limited. For the year ended March 31, 2020, RPV Energy Company reported total assets of THB 1.5 billion, total debt of THB 801.2 million and net profit of THB 208.8 million. The new directors of RPV Energy Company post transaction shall be Phatpuree Chinkulkitnivat, Niwat Adirek and Charnvit Trangadisaikul. Board of Eastern Power Group Public Company Limited (SET:EP) approved the transaction as on July 31, 2020. BCPG Public Company shall use the proceed to support the Company’s business expansion and investment in the future.
