Abcam Provides Update on AIM Delisting Abcam plc provided a further update with respect to the cancellation of admission of its Ordinary Shares to trading on AIM (the "AIM Delisting"), as originally announced on 17 October 2022. As previously announced, the last day of trading of the Company's Ordinary Shares on AIM will be 13 December 2022 and the proposed AIM Delisting will be effective from 7.00 a.m. (London time) on 14 December 2022. Abcam will retain the listing of its ADSs, each representing one Ordinary Share, on Nasdaq under the ticker symbol ABCM. Abcam plc Announces Proposed Cancellation of AIM Shares Abcam plc announced the Company's intention to cancel the admission of its ordinary shares of nominal value 0.02 pence each (the "Ordinary Shares") to trading on AIM (the "AIM Delisting"), subject to shareholder approval, with effect from December 14, 2022. Subject to shareholder approval, the Company's last day of trading on AIM will be December 13, 2022. The consideration of $340 million will be paid on a cash free/debt free basis. Acquisition to be funded from existing cash resources and a partial drawdown of Abcam's Revolving Credit Facility. Acquisition agreement provides for the payment of a reciprocal termination fee of approximately 3% of the purchase price, in the event the Acquisition is terminated in certain specified circumstances. As of December 30, 2020, BioVision generated revenues of $33.8 million, operating profit of $12.6 million, and had Net assets of $21.9 million. The acquisition is expected to be accretive to adjusted earnings per share (EPS) from the first full year of ownership. The acquisition is subject to applicable regulatory clearance and will be subject to review and approval of the Shenzhen Stock Exchange and by a vote of NKY's shareholders. If approved, the acquisition is expected to close before the end of 2021 calendar year. Lazard is acting as financial adviser and Latham & Watkins LLP is acting as legal advisor to Abcam in relation to this transaction.
