(NasdaqGS:BELF.A) entered into a definitive agreement to acquire 80% stake in Enercon Technologies, Ltd. from Fortissimo fund managed by Fortissimo Capital Management Ltd. for $330 million on September 18, 2024. The consideration consists of $320 million in cash, which is subject to customary adjustments, and $10 million in earnout related payments for the 2025-2026 period. The transaction also includes the intent to purchase the remaining 20% in Enercon Technologies by early 2027 based on future EBITDA performance.
