CD&R, Permira Plan to Take Exclusive Networks Private US private equity firm Clayton, Dubilier & Rice (CD&R) and London-based investment company Permira have submitted a binding offer to take Exclusive Networks SA private in a deal valuing the French cybersecurity firm at EUR 2.2 billion (USD 2.4 billion), according to a statement published on July 24, 2024. Exclusive Networks is currently 66.7% held by Permira’s entity Everest UK HoldCo and founder Olivier Breittmayer. In an initial step, CD&R and Permira will form a consortium that will acquire the 66.7% shareholding at a price of EUR 18.96 per share. An exceptional distribution of EUR 5.29 per share will also be paid, bringing the total consideration to EUR 24.25 per share. After that, the consortium will launch a tender offer to purchase the remaining shares at the same price. Eventually, Exclusive Networks will be squeezed out. The payment of EUR 24.25 per share represents a 34.4% premium to the undisturbed share price of EUR 18.04 as of March 13, the last trading day before rumours on a potential deal emerged. The board of directors of the cybersecurity firm welcomed the proposed transaction, which will also help the company to refinance its existing indebtedness. As part of the Exclusive Academy, approximately 20 participants will benefit from specialised training over a three- year period, from highly qualified and operational cyber-experts who meet the needs of the job market. The Exclusive Academy will offer practical field experience as well as theoretical training, culminating in high level qualifications. The practical, hands-on experience in the field is a key differentiator for the programme. Students will spend 9 weeks working on technical projects in the field in the first year, 12 weeks in the second year and 14 weeks in the thirdyear.
